Our services may include:

• APIs & Integrations
• Platform Customization
• Technical Support
• Software Updates

OneBlue provides technology solutions only and does not act as a broker, exchange, investment advisor, financial institution, or custodian.

2. Eligibility

By using our services, you confirm that:

• You have the legal authority to enter into this agreement.
• You will use the services only for lawful purposes.
• All information provided is accurate and up to date.

3. Customer Responsibilities

As a White Label client, you are responsible for:

• Managing your customers and user accounts.
• Ensuring compliance with applicable laws and regulations.
• Conducting customer verification (KYC), where required.
• Implementing AML and other compliance obligations where applicable.
• Managing customer deposits, withdrawals, and trading operations.
• Protecting your account credentials.
• Maintaining the security of your own systems and users.

4. Platform Availability

We aim to provide reliable services but do not guarantee uninterrupted availability.

Services may be temporarily unavailable due to:

• Scheduled maintenance
• Security updates
• Infrastructure upgrades
• Third-party service interruptions
• Force majeure events

We reserve the right to modify or suspend services when necessary.

5. Subscription & Payments

Clients agree to pay all applicable subscription fees according to their selected plan.

Unless otherwise agreed:

• Fees are billed in advance.
• Payments are non-refundable except where required by applicable law or stated in a separate written agreement.
• Failure to pay may result in suspension or termination of services.

6. White Label Branding

Clients may customize their White Label platform, including:

• Company Name
• Logo
• Domain
• Theme Colors
• Login Branding
• Platform Settings

Clients are solely responsible for ensuring that branding materials do not infringe any third-party intellectual property rights.

7. Acceptable Use

You agree not to:

• Use the platform for unlawful activities.
• Attempt unauthorized access to systems or accounts.
• Distribute malware or malicious code.
• Interfere with platform operations.
• Reverse engineer, copy, or modify the software beyond permissions granted under your agreement.
• Use the platform in a manner that harms OneBlue or other customers.

8. Intellectual Property

All software, source code, designs, trademarks, documentation, APIs, and related intellectual property remain the property of OneBlue or its licensors unless otherwise agreed in writing.

The subscription grants a limited, non-exclusive, non-transferable right to use the platform during the active subscription period.

9. Third-Party Services

Our platform may integrate with third-party providers, including market data services, payment gateways, cloud hosting, messaging services, and other external systems.

OneBlue is not responsible for the availability, performance, or policies of third-party services.

10. Data Security

We implement reasonable administrative, technical, and organizational safeguards to protect customer data.

Clients are responsible for maintaining secure passwords, managing user permissions, and protecting their own administrative accounts.

11. Limitation of Liability

To the maximum extent permitted by law, OneBlue shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Loss of profits
• Loss of revenue
• Loss of business opportunities
• Trading losses
• Data loss
• Service interruptions
• Reputational damage

Our total liability shall not exceed the amount paid by the client for the services during the applicable subscription period, unless otherwise required by law.

12. Indemnification

You agree to indemnify and hold harmless OneBlue, its directors, employees, affiliates, and partners from claims, damages, liabilities, and expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Your customers' activities
• Violations of applicable laws or third-party rights

13. Suspension and Termination

We may suspend or terminate access if:

• Subscription fees remain unpaid.
• These Terms are violated.
• Fraudulent or illegal activities are detected.
• Continued service would pose a security or legal risk.

Upon termination, access to the platform may be disabled in accordance with applicable agreements.

14. Compliance

Clients are solely responsible for ensuring that their business operations comply with all applicable laws, regulations, licensing requirements, and financial compliance obligations in the jurisdictions where they operate.

15. Disclaimer

The OneBlue platform is provided on an "as is" and "as available" basis.

We do not guarantee that the platform will be error-free, uninterrupted, or suitable for every business purpose.

OneBlue does not guarantee trading profitability or investment outcomes and is not responsible for any financial decisions or trading results generated through the use of the platform.

16. Changes to These Terms

We may update these Terms & Conditions from time to time.

Updated versions become effective when published on our website or otherwise communicated to customers.

Continued use of the services after updates constitutes acceptance of the revised Terms.

17. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable to the agreement between OneBlue and the client, unless otherwise specified in a separate written contract.
